We reserve the right to modify, suspend, or discontinue any aspect of our website or service offerings at any time, with or without notice. You and Chase Health shall engage in good-faith negotiations for a period of at least sixty calendar days. If the dispute is not resolved through informal negotiation, either party may proceed to formal dispute resolution as set forth below.

Any controversy, claim, or dispute arising out of or relating to these Terms of Service, or the breach thereof, that cannot be resolved through informal negotiation shall be submitted to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its then-current Arbitration Rules. The arbitration shall be conducted by a single arbitrator mutually selected by the parties, or, if the parties cannot agree, appointed by CIETAC. The arbitration proceedings shall be conducted in the English language and shall take place in Beijing, China, unless the parties agree otherwise in writing.

The arbitrator shall have the authority to award any remedy or relief that a court of competent jurisdiction could order or grant, including the issuance of interim measures of protection. The arbitration award shall be final and binding upon the parties, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs and expenses of the arbitration, and the parties shall share equally the fees and expenses of the arbitrator and CIETAC, unless the arbitrator determines that a different allocation is warranted. Nothing in this section shall preclude either party from seeking injunctive relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information pending the outcome of arbitration.

To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Songyuan Zhukang Network Technology Co., Ltd. or Chase Health.

These Terms of Service remain in effect until terminated by either party. You may terminate these terms at any time by discontinuing use of the Chase Health website and services and destroying all materials obtained from the website, together with all related documentation and copies. For client engagements governed by a separate service agreement, termination shall be governed by the terms of that agreement.

We reserve the right to terminate or suspend your access to the website and services, in whole or in part, immediately and without prior notice, for any reason, including without limitation: your breach or violation of any provision of these Terms of Service; your engagement in conduct that we, in our sole discretion, believe is harmful to other users, us, third parties, or could expose us to legal liability; your failure to pay fees when due under any applicable service agreement; or a request by law enforcement or other government authority.

Upon termination, your right to access and use the website and services shall immediately cease. All provisions of these Terms of Service that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, indemnification, governing law, and dispute resolution provisions. Termination shall not relieve you of any obligations that accrued before the effective date of termination, including any payment obligations.
